“I cannot say enough about all of the efforts of NRC in helping us navigate the sale process….NRC helped with the selection of outside counsel experienced in similar c-store transactions, as well as with the selection of outside service providers for real estate due diligence. In addition, Denny and his team stayed involved throughout the entire process and provided extremely valuable legal and business advice and recommendations about all aspects of this transaction.”

President and Chief Executive Officer | Cox Oil Company

Assets

52 company-operated and two dealer-operated convenience stores located in Tennessee and Kentucky, operating under the “Little General Convenience Stores” and “Maverick Quick Shop” brands. Almost all of the stores offered one or more foodservice programs, primarily the company’s proprietary “Cluckers Tennessee Fried Chicken” program. Twenty-two stores sold fuel under the Marathon brand, 13 under the Shell brand and 20 were unbranded.

Engagement

NRC was engaged by the company to conduct a private, controlled confidential sale for all of the assets of the company. NRC developed a list of prospective purchasers approved by the company who were contacted in order to determine their interest in the transaction. After several rounds of robust bidding by several bidders, Tri Star Energy LLC, based in Nashville, Tennessee, emerged as the winning bidder.
